Terms of Service

These Terms of Service (the “Terms”) govern access to and use of ExpoDash, the online operations dashboard for e-commerce businesses offered at expodash.io. ExpoDash is operated by a company established in the Netherlands (“ExpoDash”, “we”, “us”, “our”); the full legal entity details are set out in section 18 (Contact). By creating an account, taking out a subscription or otherwise using the Service, the Customer enters into the Agreement and accepts these Terms.

1. Definitions

In these Terms, the following capitalized terms have the meanings set out below. Words in the singular include the plural and vice versa.

  • “Agreement”: the agreement between ExpoDash and the Customer regarding the Service, consisting of the subscription order, these Terms, the data processing terms referred to in the Privacy Policy at expodash.io/privacy and any additional terms expressly agreed in writing.
  • “Customer”: the business that creates an account for, subscribes to or uses the Service.
  • “Customer Data”: all data, content and materials submitted to the Service by or for the Customer, including data the Service retrieves from Third-Party Platforms on the Customer’s behalf, such as product, order, customer, advertising and support data.
  • “Service”: the ExpoDash online operations dashboard for e-commerce businesses offered at expodash.io, including its modules, automated systems, interfaces and documentation.
  • “Third-Party Platforms”: the third-party services and accounts the Customer connects to the Service, including its store platform (such as Shopify), advertising platforms, helpdesk providers and related tools.
  • “Users”: the individuals the Customer authorizes to use the Service under its account, such as its employees and contractors.

2. Applicability

2.1 These Terms apply to every offer made by ExpoDash and to every Agreement and every use of the Service. Deviations from these Terms are binding only if expressly agreed in writing by ExpoDash.

2.2 The applicability of any purchasing conditions, general terms and conditions or other terms used by the Customer is expressly rejected.

2.3 The Service is offered exclusively to businesses. By entering into the Agreement, the Customer confirms that it acts in the course of a business or profession and not as a consumer.

2.4 If any provision of these Terms is invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be replaced by a valid provision that reflects its purpose and intent as closely as possible.

3. Account and access

3.1 The Customer must provide accurate, current and complete information when registering and must keep that information up to date.

3.2 The Customer and its Users must keep account credentials confidential. The Customer must notify ExpoDash without delay at info@expodash.io if it suspects unauthorized access to or use of its account.

3.3 The Customer is responsible for all activity that occurs under its account, including all acts and omissions of its Users, and must ensure that its Users comply with these Terms.

3.4 ExpoDash may require reasonable security measures for account access, such as two-factor authentication.

4. Subscriptions, fees and payment

4.1 The Service is offered in the following monthly plans: Starter at EUR 99 per month, Growth at EUR 199 per month, Scale at EUR 299 per month, and Custom from EUR 349 per month. The current plan contents are described at expodash.io/pricing.

4.2 All prices are exclusive of VAT and other government levies.

4.3 Subscriptions run for successive periods of one month, are billed in advance and renew automatically each month. There are no long-term contracts. New Starter subscriptions begin with a 7-day free trial: the Customer provides a payment method at sign-up but is not charged during the trial. Unless the Customer cancels before the trial ends, the paid Starter subscription starts automatically and the first payment is taken on the trial end date. The Customer may cancel in one click at any time during the trial, at no cost. Growth, Scale and Custom plans start as paid subscriptions on the date they are taken out.

4.4 The Customer may cancel its subscription at any time, effective at the end of the current billing period. Until that date the agreed fees remain due. Refunds are governed exclusively by the Refund Policy at expodash.io/refund.

4.5 ExpoDash may change its prices by giving the Customer at least 30 days prior notice. If the Customer does not agree, it may cancel its subscription before the new prices take effect. Continued use of the Service after the effective date constitutes acceptance of the changed prices.

4.6 If a payment fails or is late, ExpoDash will notify the Customer and may suspend access to the Service if payment is not received within a reasonable period after that notice. ExpoDash may charge statutory commercial interest and reasonable collection costs. Suspension does not release the Customer from its payment obligations.

5. Refunds and statutory rights

5.1 Payments are processed by our Merchant of Record, Paddle, which also handles refunds. Refunds are governed by the Refund Policy at expodash.io/refund, which includes a 14-day money-back guarantee.

5.2 Nothing in the Agreement limits or excludes any mandatory statutory right or remedy that cannot be contractually limited or excluded. Where applicable consumer-protection law or Paddle's buyer terms grant additional or non-waivable rights, the highest level of rights always applies.

6. Acceptable use

6.1 The Customer may use the Service only for lawful purposes and in accordance with the Agreement.

6.2 The Customer shall not, and shall ensure that its Users do not:

  • reverse engineer, decompile or disassemble the Service, except to the extent permitted by mandatory law;
  • scrape, crawl or systematically extract content or data from the Service other than through its intended functionality;
  • resell, sublicense, rent out or otherwise make the Service available to third parties;
  • share an account across multiple legal entities or otherwise circumvent the store or usage limits of the subscribed plan;
  • circumvent or test security or access controls, or introduce malicious code;
  • use the Service in a manner that violates the terms of connected Third-Party Platforms or applicable law.

6.3 ExpoDash may set and enforce reasonable fair-use limits to protect the stability, security and performance of the Service for all customers, and will inform the Customer where such limits materially affect its use.

7. Customer Data and integrations

7.1 The Customer retains all rights to and ownership of Customer Data.

7.2 The Customer grants ExpoDash a non-exclusive license to host, process, transmit and display Customer Data solely as necessary to provide, secure, maintain and support the Service, and as otherwise instructed by the Customer. ExpoDash acquires no other rights to Customer Data.

7.3 The Customer warrants that it has all rights, consents and legal bases, including toward its own customers, that are required for the Customer Data it submits and for the Third-Party Platform accounts it connects, and that connecting those accounts does not violate the terms applicable to them.

7.4 Where ExpoDash processes personal data on the Customer’s behalf, it does so on the Customer’s instructions. The data processing terms set out in the Privacy Policy at expodash.io/privacy apply and form part of the Agreement.

7.5 The Customer remains solely responsible for its own stores, advertising, customer relationships and legal compliance, including the consumer, marketing, tax and product rules that apply to its business. The Service is an operational tool and does not constitute legal, tax or other professional advice.

8. Intellectual property

8.1 The Service and all of its components, including software, design, databases, documentation and trademarks, are and remain the exclusive property of ExpoDash or its licensors. The Customer obtains only a limited, non-exclusive, non-transferable right to use the Service for its own business operations during the term of the Agreement.

8.2 ExpoDash may freely use suggestions, ideas and feedback provided by the Customer or its Users, without restriction and without owing any compensation.

9. Availability, support and maintenance

9.1 ExpoDash will provide the Service with reasonable skill and care and will use reasonable efforts to keep the Service available. ExpoDash does not guarantee uninterrupted or error-free operation and commits to no specific uptime unless expressly agreed in writing.

9.2 Support is available by email at info@expodash.io. ExpoDash will use reasonable efforts to respond within a reasonable time during business hours in the Netherlands.

9.3 Maintenance may temporarily limit the availability of the Service. ExpoDash will schedule planned maintenance outside peak hours where reasonably possible and will announce material planned downtime in advance where reasonably possible.

9.4 The Service depends on Third-Party Platforms, which are expressly outside ExpoDash’s control. Changes to their interfaces, their outages, rate limits, or the policy and commercial decisions of their operators may affect or limit functionality of the Service. Such circumstances are not attributable to ExpoDash and do not constitute a breach of the Agreement.

10. Changes to the Service

10.1 ExpoDash continuously develops the Service and may add, change or improve features at any time.

10.2 ExpoDash will communicate material reductions of core functionality in advance where reasonably possible. If such a reduction substantially disadvantages the Customer, the Customer may cancel its subscription effective at the end of the current billing period.

11. Confidentiality

11.1 Each party will keep confidential all non-public information it receives from the other party in connection with the Agreement, will use it only for the performance of the Agreement, and will protect it with at least the same degree of care it uses for its own confidential information, and never less than reasonable care.

11.2 This obligation does not apply to information that is or becomes publicly available without breach of the Agreement, was already lawfully known to the receiving party, was independently developed without use of the other party’s information, or was lawfully received from a third party without a duty of confidentiality. A party may disclose confidential information where required by law or by a binding order of a court or authority, and will notify the other party in advance where legally permitted.

11.3 This Section 11 survives termination of the Agreement.

12. Liability

12.1 ExpoDash is not liable for indirect or consequential damages, including lost profit, lost revenue, lost savings, loss or corruption of data, business interruption and reputational damage.

12.2 ExpoDash’s total aggregate liability arising out of or in connection with the Agreement is limited, per event or series of connected events, to the fees paid by the Customer for the Service in the three months preceding the event giving rise to the liability.

12.3 The limitations in this Section 12 do not apply where the damage results from intent or deliberate recklessness on the part of ExpoDash or its management, or in other cases where liability cannot be limited under mandatory Dutch law.

12.4 The Customer must notify ExpoDash of any claim for damages in writing within 12 months after the Customer became aware, or should reasonably have become aware, of the damage and of ExpoDash’s possible liability, failing which the claim lapses.

13. Indemnification

13.1 The Customer indemnifies ExpoDash and holds it harmless against all third-party claims, including claims from the Customer’s own customers, its Users and the operators of Third-Party Platforms, and against related damages, fines and reasonable costs of defense, to the extent such claims arise from Customer Data, from the Customer’s stores, advertising or business operations, or from the Customer’s breach of these Terms or of applicable law.

14. Term, suspension and termination

14.1 The Agreement is entered into for a term of one month and renews automatically for successive one-month periods until cancelled.

14.2 The Customer may cancel at any time as set out in Section 4.4. ExpoDash may terminate the Agreement for convenience by giving at least 30 days written notice, effective at the end of a billing period.

14.3 ExpoDash may suspend access to the Service or terminate the Agreement in the event of a material breach, including non-payment and violations of Section 6, after giving notice and, where the breach is curable, a reasonable period to cure. ExpoDash may suspend or terminate with immediate effect where the Customer is declared bankrupt, is granted a suspension of payments or ceases its business operations, or where immediate action is necessary to protect the Service, other customers or third parties.

14.4 Upon termination, the Customer’s access to the Service ends at the end of the billing period already paid for.

14.5 The Customer may export its Customer Data through the Service before the end date. ExpoDash will provide reasonable assistance on request.

14.6 ExpoDash may delete Customer Data 30 days after termination of the Agreement, except where retention is required by law.

14.7 Provisions that by their nature are intended to survive termination, including Sections 8, 11, 12, 13 and 17, remain in force after termination.

15. Force majeure

15.1 ExpoDash is not required to perform any obligation, and is not liable for any failure to perform, if it is prevented from doing so by force majeure. Force majeure includes circumstances beyond ExpoDash’s reasonable control such as failures of hosting providers, power or internet infrastructure, failures or restrictions of Third-Party Platforms, cyberattacks, government measures, war, labor disputes and epidemics.

15.2 If a force majeure situation lasts longer than 60 consecutive days, either party may terminate the Agreement in writing with immediate effect, without any obligation to pay damages. Fees due for the period before the termination date remain payable.

16. Changes to these Terms

16.1 ExpoDash may amend these Terms. Material changes will be announced via the Service or by email at least 30 days before they take effect.

16.2 If the Customer does not agree to a change, it may cancel its subscription before the effective date. Continued use of the Service after the effective date constitutes acceptance of the amended Terms.

17. Governing law and venue

17.1 The Agreement and these Terms are governed exclusively by Dutch law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17.2 Any dispute arising out of or in connection with the Agreement will be submitted exclusively to the competent court in Amsterdam, the Netherlands, unless mandatory law provides otherwise.
